Please read the below attendee waiver. All attendees are required to read and sign to attend The Alchemist Retreat.

 ASSUMPTION OF RISK, WAIVER OF LIABILITY, AND CONSENT TO USE LIKENESS AGREEMENT 

      This Assumption of Risk, Waiver of Liability, and Consent to Use Likeness Agreement (the “Agreement”) is entered into and made effective as of the date of your signature below (the “Effective Date”) by and between the signatory to this Agreement (the “Attendee”) and Sarah Elkhaldy, a sole proprietorship aka The Alchemist, organized and operating under the laws of the state of California (referred to herein as “The Alchemist”). Attendee and The Alchemist are referred to herein collectively as the “Parties”.

RECITALS 

        WHEREAS, Attendee has signed up for and will be attending the Alchemy Retreat in Sedona, Arizona between March 6th – 10th, 2025 (the “Retreat”);

      WHEREAS, the Parties now wish to enter into this Agreement in order to confirm the limited rights, obligations, and responsibilities between the Parties as well as account for the at-your-own-risk nature of the Retreat.

NOW THEREFORE, in consideration of the mutual promises set forth below, the Parties agree as follows: 

AGREEMENT

1.     ASSUMPTION OF RISK.

a.      Although attending the Retreat is not inherently dangerous, Attendee may be exposed to certain risks during the Retreat, including but not limited to during the hike, during the sound bath, or while consuming foods, which include, but are not limited to falling, tripping, food sickness, and other injuries.

b.     By Attending the Retreat, Attendee hereby freely assumes the above-mentioned risks, as well as other risks not listed herein, and agrees that he/she is attending the Retreat under his/her own free will despite these risks. 

c.      Attendee hereby acknowledges and agrees that no part of the Retreat is required, and that should Attendee not be comfortable doing one or more activities during the Retreat, such as a hike, Attendee can withhold himself/herself from parting in any activities Attendee is either not comfortable doing or is not able to do.

2.     FOOD/HEALTH DISCLAIMER.

a.      While the general risk of an adverse reaction to food/drink is generally small, you may have an underlying health condition, allergy, or sensitivity unknown to The Alchemist that could cause or contribute to an adverse reaction of some kind while consuming food or drink during the Retreat.

i.     This specifically includes the cacao ceremony in which you are given the option to consume a cacao-based drink. If you are unsure about your ability to consume the cacao-based drink during the cacao ceremony based on the effects of the cacao bean or your own underlying health condition(s), we recommend that you speak with a doctor before leaving for the Retreat.

b.     Attendee hereby acknowledges and agrees that if Attendee has a known allergy, sensitivity, or health issue unknown to The Alchemist, that it is Attendee’s sole responsibility to inquire into any food given or consumed to determine if consuming said food/drink would cause a reaction. In addition, since food will prepared by third-parties, The Alchemist cannot accept responsibility for any negligence on the part of the food-service provider.

3.     TRAVEL AND ACCOMMODATION DISCLAIMER.

a.      Although traveling to the Retreat or staying in your chosen accommodation is not inherently dangerous, Attendee may be exposed to certain risks of travel and which include but are not limited to car accident, negligence on behalf of the driver, theft or other injury. Since the driver(s) and hotel(s) are be third-parties and not agents of The Alchemist, The Alchemist cannot accept responsibility for any negligence or issues related to these third-parties.

4.     WAIVER OF LAWSUIT/LIABILITY.

a.      Attendee hereby releases The Alchemist and its owners, employees, and agents (the “Released Parties”) from any and all liabilities, causes of action, claims, and demands that arise in any way related to my injury, loss, harm, or similar that occurs to me during the Retreat, including transportation to and from the Retreat. This release also extends to claims of negligence.

b.     Attendee also agrees not to sue the Released Parties for any injury, loss, or harm that occurs before, during, or after the Retreat, subject to appliable law.

5.     CONSENT AND USE OF LIKENESS.

a.      Attendee understands and agrees that during the Retreat, Attendee may be photographed or videotaped and hereby fully gives Attendee’s consent to being photographed or videotaped.

b.     To the fullest extent permitted by law, Attendee waives all rights of publicity or pre-approval in connection with the use of Attendee’s likeness.

c.      By attending the Retreat and signing this Agreement, Attendee grants to the Alchemist its affiliates and related companies and persons the right to use my likeness, in whole or in part, in any form, without restriction, including promotional and marketing purposes on all mediums.

6.     LIMITATION OF LIABILITY.

a.      THE RETREAT AND ALL ACTIVITIES PLANNED DURING THE RETREAT ARE PROVIDED 'AS IS' AND, TO THE EXTENT PERMITTED BY APPLICABLE LAW, THE ALCHEMIST AND ITS OWNERS, DIRECTORS, EMPLOYEES, AND AGENTS EXCLUDE ALL REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, SATISFACTORY QUALITY, AND FITNESS FOR A PARTICULAR PURPOSE.

b.     THE ALCHEMIST SHALL NOT BE LIABLE TO YOU FOR INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES RESULTING FROM ATTENDING THE RETREAT, EVEN IF THE ALCHEMIST WAS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, NOR SHALL THE ALCHEMIST BE HELD LIABLE FOR DELAY OR FAILURE IN PERFORMANCE RESULTING FROM CAUSES BEYOND OUR REASONABLE CONTROL. IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES AND CAUSES OF ACTION EXCEED THE TOTAL AMOUNT YOU PAID TO ATTEND THE RETREAT.

7.     CHOICE OF LAW:  

a.      The Parties agree that the laws of the State of California will apply to this Agreement, without giving effect to its choice of law provisions.

b.     Any dispute arising out of or in connection with this Agreement shall be subject to binding arbitration in California, through JAMS.

8.     MISCELLANEOUS.

a.      By signing this Agreement, Attendee hereby represents and warrants that Attendee has read this Agreement in its entirety and understood the inclusions herein. Attendee either had this Agreement reviewed by an attorney or waived Attendee’s ability to do so.

b.     If any provision of this Agreement shall be held to be invalid or unenforceable for any reason, the remaining provisions shall continue to be valid and enforceable. 

IN WITNESS WHEREOF, I agree to be bound by all of the terms and conditions found in this Agreement.
